The U.S. antitrust/competition team advises clients on the antitrust implications of mergers, acquisitions and joint ventures. Notably, our proposed deals are regularly approved by the FTC and the U.S. DoJ. We also defend clients in international price-fixing investigations, and we represent them in civil antitrust litigation.
Our U.S. banking team’s clients include market-leading financial institutions, financial sponsors, mezzanine providers, funds, and public and private companies. We advise on complex domestic and cross-border financing transactions, including those involving high-yield debt securities. With lawyers in the Americas, Europe and Asia, we’re in prime position to provide the highest quality legal advice across a range of products, wherever needed.
Our bankruptcy, restructuring and insolvency team advises lending institutions, investment funds, financial advisors and global companies in all phases of in-court and out-of-court restructurings and workouts. We bring extensive experience in pure domestic distressed situations, and we’re uniquely situated to offer multi-jurisdictional advice in the most complex cases of cross-border distress.
Our U.S. capital markets team handles transactions involving equity, equity-linked and debt securities. Our expertise covers trading on the major U.S. and international exchanges, initial public offerings, high-yield debt offerings, SEC-registered offerings, as well as non-registered offerings made pursuant to Rule 144A and Regulation S. We also advise on liability management transactions involving tender offers and exchange offers, as well as other domestic and cross-border securities transactions, by U.S. and non-U.S. issuers.
Our U.S. corporate/M&A team represents a wide range of leading U.S. and international corporations, financial institutions and private equity funds. We offer extensive and unrivalled experience with both public and private domestic and cross-border transactions.
The U.S. dispute resolution team advises and defends clients with significant exposure in cross-border and U.S. litigation. We focus on complex commercial litigation, regulatory and internal investigations, as well as antitrust, securities, white-collar crime, class and derivative actions. We also handle accounting fraud, bankruptcy litigation and lender liability actions.
The energy and infrastructure/project finance team advises on complex, large-scale projects around the world, including LNG, renewables, thermal power, upstream oil and gas, petrochemicals, mining, roads, transmission line and pipeline-related transactions. We’re experienced in acting for host governments, sponsors, lenders, contractors and suppliers. We’re also integrated with Linklaters’ global energy and infrastructure practice, offering our clients key U.S.-qualified members in New York, London and Singapore.
Our Executive Compensation and ERISA team focuses on matters relating to compensation and benefits. We advise on corporate, securities and tax laws, stock exchange listing requirements, and ERISA.
The financial regulation team’s expertise covers a wide variety of bank regulatory matters, including mergers and acquisitions, private equity investment, capital markets transactions, capital adequacy, and bank-sponsored private investment funds.
The investment management team helps clients raise capital for a broad range of private equity, real estate, special situations, credit opportunity and hedge funds. We offer extensive experience on complex secondary transactions, and the purchase and sale of minority and controlling interests in investment management firms. We also advise institutional investors on participation in private funds.
Governments, major multinationals and global financial institutions in Latin America rely on the vast experience of this team to see them through significant corporate and finance transactions, as well as energy, natural resources and infrastructure projects, throughout the region. Our dedicated lawyers across the firm frequently work in Mexico, Chile, Peru, Argentina, Colombia, Venezuela, Bolivia and Ecuador. This team focuses on domestic and international securitizations, distressed transactions, hedge fund-linked and hedge fund finance products. We also advise on repackagings and other structured products, as well as risk-based capital and balance sheet relief transactions. What’s more, we handle transactions involving commodity, carbon, equity and insurance linked exposures, repos and securities lending. Plus, we cover treatment of derivatives under the U.S. insolvency regime, regulatory advice, and other structured products.
Our tax team counsels clients in M&A transactions, spin-offs and other divestitures, internal restructurings, consolidated return matters and workouts. We also advise on transactions involving REITs, partnerships and other pass-through entities. Representing several of the world’s leading private equity and asset management firms, we’ve been involved in some of the most complex and innovative investment funds and products in recent years. We also advise clients on a broad range of global tax matters, including the structuring, formation and implementation of numerous cross-border investment funds.
